LC-INSIGHTS LLC TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Subscriber,” or “You”) and LC-Insights LLC (“Company,” “we,” “our,” or “us”), governing your access to and use of our subscription-based services, including our core platform, InsightEX (the “Main Platform”), and any add-on services or subscription tiers such as the LC-Insights Community platform (the “Community Platform”). Together, InsightEX and the Community Platform are referred to as the “Platform.” These Terms apply to all features, services, digital products, and content made available through the Platform.
The Platform is accessible via www.lifecycleinsights.com, change.lifecycleinsights.com, and any current or future subdomains or domains owned or operated by LC-Insights LLC. Your use of the Platform, including access to InsightEX premium content, dashboards, analytics tools, and any Community Platform features, is governed by these Terms, in addition to any supplemental terms (such as the Community Terms and Conditions) that apply specifically to certain features, tiers, or services.
By creating an account, subscribing to our services, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use any portion of the Platform. Use of the Community Platform, where applicable, is further governed by a separate set of Community Terms, which you must agree to when subscribing to that tier.
We reserve the right to update, modify, or revise these Terms at any time in our sole discretion to reflect changes in our business practices, legal requirements, or the functionality of the Platform. When changes are made, we will provide notice by updating the “Last Updated” date at the top of this page and, where appropriate, by sending you an email notification. Your continued use of the Platform after such changes take effect signifies your acceptance of the revised Terms.
These Terms and all related documents are drafted in the English language, which shall prevail over any translations provided for convenience. Any translations are provided for reference only and do not affect the interpretation or enforceability of these Terms.
For the purposes of these Terms, the following capitalized terms shall have the meanings set forth below:
“Platform” means the subscription-based digital environment owned and operated by LC-Insights LLC, which includes both InsightEX (the “Main Platform”) and the Community Platform. The Platform provides Users with access to premium research content, thought leadership materials, analytics tools, business insights, and community interaction features, as applicable to their subscription tier.
“InsightEX" refers to the core services provided by LC-Insights LLC, including access to premium reports, articles, analytics dashboards, eBooks, and other business insights content available at lifecycleinsights.com or related subdomains.
“Community Platform” refers to the separate, subscription-based component of the Platform accessible through a User’s LC-Insights account, which facilitates peer-to-peer exchange of experiences, perspectives, and feedback regarding engineering and business transformation initiatives.
“Services” refers to all features, functionalities, and offerings provided through the Platform, including, but not limited to, subscription access, content delivery, and participation in community discussions.
“Content” refers to all text, data, articles, reports, graphics, images, videos, and other materials available on the Platform, whether produced by LC-Insights LLC or contributed by Users.
“User” or “Subscriber” means any individual or entity that registers for an account, subscribes to our Services, or otherwise uses the Platform.
“User-Generated Content” refers to any posts, comments, or materials submitted, published, or displayed by Users in the community forum or other interactive areas of the Platform.
“Account” means the unique login profile created by a User to access the Platform’s Services.
“Subscription” refers to the paid, recurring access plan that enables a User to utilize the Platform and its features, subject to the applicable subscription term and pricing.
“We,” “Our,” or “Company” means LC-Insights LLC, including its affiliates, officers, and authorized representatives.
“You” or “Your” refers to the User or Subscriber accessing or using the Platform under these Terms.
“Applicable Law” means any federal, state, or local law, regulation, or guideline that governs the use of the Platform and Services.
3.1 Minimum Age Requirement
Access to and use of the Platform is limited to individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater. By creating an account or using the Services, you represent and warrant that you meet this eligibility requirement. The Platform is not intended for, and we do not knowingly allow, the use of our Services by minors. If we discover that an account has been created by someone under the age of eighteen (18), we reserve the right to terminate that account immediately.
3.2 Account Creation Process
To access InsightEX or any part of the Platform, you must create an account by providing your full name, a valid email address, and creating a secure password. Your LinkedIn profile will be used solely to validate your identity if you join the community. When creating an account, you agree to provide accurate, complete, and current information during registration, including maintaining an active and publicly accessible LinkedIn profile, and to promptly update your account information as necessary to keep it accurate and complete. You must also ensure that any linked third-party login credentials remain active and valid.
The creation of multiple accounts by the same individual or entity is strictly prohibited unless expressly authorized by LC-Insights LLC. Any attempt to impersonate another person, provide false information, misrepresent your identity, or conceal relevant affiliations constitutes a material breach of these Terms and may result in the suspension or permanent termination of your account without refund.
LC-Insights LLC shall not be liable for issues, delays, or loss of access resulting from inaccurate or outdated account information, inactive or inaccessible LinkedIn profiles, deactivated third-party accounts, or other authentication-related failures.
3.3 Community Platform Access
The Community Platform is a separate, paid subscription tier available only to Users who maintain an active InsightEX (Main Platform) subscription. Access to the Community Platform is granted through your existing LC-Insights account credentials but is unlocked solely upon purchase of the required Community-tier subscription.
Users without an active Community subscription will not be able to view, engage with, or participate in community discussions, peer forums, shared experiences, or related interactive features. Access to the Community Platform may be suspended or revoked independently of your access to InsightEX, as outlined in the applicable Community Terms and Conditions.
3.3 Account Security and Responsibility
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree not to share your login details with any third party or allow anyone else to access your account. Sharing of login credentials across multiple individuals or entities is strictly prohibited. If we reasonably, believe that account sharing or unauthorized access has occurred, we reserve the right to suspend or permanently terminate your account without notice
Any activities conducted through your account will be deemed your responsibility, whether authorized by you or not. If you suspect unauthorized access to your account or a security breach, please notify us immediately using the contact information provided in these Terms. LC-Insights LLC shall not be liable for any loss or damage resulting from your failure to safeguard your account credentials or from improper account usage.
4.1 Subscription Plans and Auto-Renewal
Access to InsightEX and its premium features, including exclusive content and community participation, is offered on a subscription basis. By subscribing, you agree to pay the fees associated with your chosen subscription plan. Subscription options, including billing frequency (e.g., monthly, quarterly, annual), will be disclosed at the time of purchase.
All InsightEX subscriptions automatically renew at the end of each billing cycle to ensure uninterrupted service, unless you cancel your subscription before the renewal date. By agreeing to these Terms, you authorize LC-Insights LLC to automatically charge the payment method on file for the applicable subscription fee and any applicable taxes at each renewal term. This authorization remains in effect until you cancel your subscription in accordance with Section 4.2.
4.2 Payment Terms and Billing Cycle
All subscription fees must be paid in advance and are due at the beginning of each billing cycle. Fees will be displayed on the purchase page and confirmed in your account dashboard. You are responsible for maintaining accurate and current billing information, including a valid payment method.
If a payment attempt fails due to insufficient funds, expired credit card, or any other reason, you will remain responsible for any uncollected amounts. LC-Insights LLC reserves the right to suspend or terminate your account if payment issues are not resolved promptly. Late or failed payments may also result in additional administrative charges. By providing your payment details, you represent and warrant that you have the necessary legal right to use the payment method you have provided.
You may cancel your InsightEX subscription at any time by logging into your account and using the cancellation option provided in your subscription settings. To avoid being charged for the next billing cycle, you must complete the cancellation process before your renewal date.
After cancellation, your subscription will remain active until the end of the current billing period, and you will continue to have access to premium features during that time. At the end of the billing cycle, your access will automatically terminate, and you will not be billed for subsequent periods. Please note that deleting your account alone does not constitute cancellation; you must follow the official cancellation process.
If you subscribe to the Community Platform, separate billing, cancellation, and refund policies may apply. These are governed by the Community Terms and Conditions, which form a distinct agreement specific to the community tier. By subscribing to or accessing the Community Platform, you agree to be bound by those supplemental terms. In case of any conflict between these general Terms and the Community Terms, the Community Terms will govern for all community-specific services.
4.3 Refund Policy
All subscription fees are non-refundable except as required by applicable law. LC-Insights LLC does not provide refunds, credits, or prorated billing for any partial subscription periods, unused services, or early cancellations. By subscribing, you acknowledge and agree to this no-refund policy and confirm your understanding that fees will not be returned once payment has been successfully processed.
If you believe you were charged in error or encounter a billing issue, you must notify us within 7 calendar days of the charge by contacting contact@lifecycleinsights.com. Failure to do so within this period may waive your right to dispute the charge.
4.4 Changes to Subscription Plans and Pricing
LC-Insights LLC reserves the right to modify subscription plans, features, and pricing at any time to reflect business changes, legal requirements, or new service enhancements. Any price changes will be communicated to you in advance via email and/or by posting a notice on the Platform.
Such changes will take effect on your next billing cycle. By continuing to use InsightEX after the effective date of new pricing or plan changes, you accept the updated terms. If you do not agree to the revised pricing, your sole and exclusive remedy is to cancel your subscription before the next renewal date in accordance with Section 4.2.
5.1 Prohibited Activities
By accessing and using the Platform, you agree to conduct yourself lawfully and responsibly at all times. You further agree not to engage in any conduct that is illegal, harmful, disruptive, or otherwise violates these Terms or applicable law. Prohibited activities include, but are not limited to:
Unauthorized Access – Attempting to gain unauthorized access to any part of the Platform, another user’s account, or any systems or networks connected to the Platform through hacking, password mining, or any other means.
Automated Access – Using automated tools, bots, scripts, crawlers, scrapers, or similar technologies to access, interact with, or extract data from the Platform without prior written consent from LC-Insights LLC.
Intellectual Property Violations – Copying, reproducing, downloading, distributing, publicly displaying, or creating derivative works from any Platform content, including InsightEX content and Community-posted materials, without express written permission from LC-Insights LLC.
Malicious Activities – Introducing or transmitting viruses, malware, spyware, worms, or any other harmful or disruptive code intended to damage or interfere with the Platform’s functionality or the devices of different users.
Fraudulent or Misleading Behavior – Engaging in fraud, misrepresentation, impersonation, or providing false or misleading information when using the Platform.
Harassment and Abuse – Harassing, threatening, stalking, or impersonating any user or LC-Insights LLC personnel, or engaging in behavior that disrupts the community experience.
Violations of this section constitute a material breach of these Terms and may result in immediate suspension or permanent termination of your account without refund, removal of any offending content, and potential legal action, including claims for damages.
If you use the Community Platform, you are also subject to additional behavioral and content guidelines outlined in the LC-Insights Community Terms & Conditions. Those govern interactive and peer-contributed content specifically and should be reviewed before participating in the forum or submitting user-generated content.
5.2 Compliance with Applicable Laws
You agree to use the Platform and its Services in full compliance with all applicable local, state, federal, and international laws and regulations. This includes, but is not limited to:
Data Protection Laws such as the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR), where applicable;
Intellectual Property Laws governing copyrights, trademarks, and proprietary content; and
Online Conduct Regulations related to fraud prevention, harassment, and content sharing.
You are solely responsible for ensuring that your actions on the Platform do not violate any applicable laws or regulations within your jurisdiction. LC-Insights LLC assumes no liability for your failure to comply with applicable laws.
5.3 Code of Conduct for Community Forum
The Platform’s community forum is designed to create a professional, respectful, and collaborative environment for business-focused discussions. To maintain this standard, you agree to the following:
Share content that is relevant, respectful, and aligned with the forum’s purpose. Avoid disruptive or off-topic postings.
Refrain from using profanity, hate speech, discriminatory remarks, or content that targets individuals or groups based on race, ethnicity, gender, religion, or other protected characteristics.
Do not post content that is defamatory, obscene, illegal, or infringes on any third-party intellectual property rights.
Do not advertise products, promote third-party services, or solicit users for business purposes without obtaining prior written approval from LC-Insights LLC.
Do not share another user’s personal information or confidential data, and always respect the intellectual property rights of both LC-Insights LLC and other users.
LC-Insights reserves the right to moderate community behavior in accordance with the Community T&C and may take enforcement actions as outlined therein.
6.1 Public Posting Rules
The community forum is designed to foster an interactive, professional, and secure environment where subscribers can share insights, participate in discussions, and collaborate with peers. The forum is accessible exclusively to active subscribers and is not visible to the general public. All posts, comments, and other contributions made within the forum are visible to other subscribers and are considered public within the Platform’s community environment.
By posting or submitting any content in the forum, you grant LC-Insights LLC a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content on the Platform and in related materials for purposes of facilitating community engagement, maintaining the integrity of the Platform, and improving our services.
You expressly acknowledge and agree that:
You are solely responsible for any content you post and for all consequences arising from its publication.
Your contributions reflect your views and opinions and do not represent the official views, policies, or positions of LC-Insights LLC.
Any content you post may remain on the Platform even after your subscription or account is terminated, at LC-Insights LLC’s discretion and in compliance with applicable legal or regulatory obligations.
6.2 Prohibited Content
You agree not to upload, post, transmit, or otherwise make available any content that violates these Terms, community standards, or applicable law, including but not limited to:
Content that is unlawful, defamatory, libelous, obscene, threatening, harassing, abusive, or invasive of another person’s privacy rights.
Content that promotes or condones racism, bigotry, hate speech, discrimination, or violence based on race, ethnicity, nationality, gender, religion, sexual orientation, disability, or any other protected characteristic.
Content that encourages criminal conduct, violence, self-harm, or any illegal behavior.
Content that infringes on the intellectual property rights, trademarks, copyrights, or proprietary rights of any third party.
Content that contains viruses, malware, spyware, ransomware, or any harmful code intended to damage, disrupt, or impair the Platform or any user’s device.
Commercial advertising, spam, affiliate links, or promotional content posted without LC-Insights LLC’s prior written consent.
Automated or Artificial Intelligence (AI)-generated content that impersonates a human user or misleads other members regarding authorship, unless clearly labeled as such.
Violating these content rules may result in immediate removal of the offending content, temporary or permanent suspension of your forum privileges, termination of your subscription account without refund, and legal action if necessary to protect LC-Insights LLC or other users.
6.3 Moderation Rights of LC-Insights LLC
LC-Insights LLC reserves the right, but not the obligation, to monitor, review, and moderate all user-generated content within the community forum. We may, at our sole discretion, edit or remove any content deemed inappropriate, unlawful, or in violation of these Terms or our community standards, issue warnings, temporarily suspend, or permanently terminate a user’s account for repeated violations or severe misconduct, and block users who engage in disruptive, harmful, or non-compliant activities.
Our moderation decisions are final and cannot be negotiated or appealed. LC-Insights LLC assumes no obligation to pre-screen content but reserves the right to take corrective action at any time.
If you become aware of content or conduct that violates these guidelines or otherwise undermines the safety or integrity of the Platform, you are strongly encouraged to report it immediately. Reports can be made by using the designated reporting feature within the Platform or by contacting LC-Insights LLC directly at contact@lifecycleinsights.com.
All reports will be reviewed promptly and handled in accordance with these Terms and applicable law. While LC-Insights LLC will take appropriate steps to address misconduct, we cannot guarantee that every issue will be resolved to your satisfaction.
6.5 Third-Party Hosting on Discourse
The Lifecycle Insights Community Forum is hosted and operated using the Discourse platform, which is provided by Civilized Discourse Construction Kit, Inc. (“Discourse”), an independent third-party service provider. By creating a community account or participating in discussions, you acknowledge and agree that:
Your user data—including your name, email address, posts, comments, and related metadata—will be transmitted to and stored by Discourse on its servers.
Use of the Forum constitutes consent for LC-Insights LLC to share limited personal information with Discourse solely for the purpose of enabling your account and forum participation.
Discourse may process your information in accordance with its own Terms of Service and Privacy Policy, which operate independently of LC-Insights LLC.
LC-Insights LLC is not responsible for any actions or omissions of Discourse and disclaims all liability for the security, privacy, or availability of the Discourse service, except as required by applicable law.
You are encouraged to review Discourse’s policies before using the Forum to understand how your data will be handled and stored.
7.1 Ownership of Platform and Content
All rights, title, and interest in and to the Platform, including InsightEX, the Community Platform, and all associated software, systems, tools, user interfaces, design elements, features, functionalities, architecture, source code, databases, and all other components, are and shall remain the exclusive property of LC-Insights LLC or its authorized licensors. This includes, without limitation, all content made available through the Platform, such as research reports, articles, white papers, blog posts, graphics, images, videos, and any other proprietary materials (collectively, the “Content”).
These materials are protected under applicable copyright, trademark, trade secret, and intellectual property laws in the United States and internationally. Except as expressly provided in these Terms, no part of the Platform or its Content may be used, copied, reproduced, modified, republished, uploaded, posted, transmitted, distributed, or otherwise exploited in any way without the prior written consent of LC-Insights LLC. Except as expressly stated in these Terms, no licenses or rights are granted to you, whether by implication, estoppel, or otherwise, in or to any intellectual property rights belonging to LC-Insights LLC or its licensors.
7.2 Limited License to Access Content (Web-Only, No Download)
Subject to your strict compliance with these Terms, LC-Insights LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Content on the Platform solely for your personal, non-commercial use during the term of your active subscription.
This license does not include any right to download, screenshot, capture, or copy any Content in any format, print or reproduce any Content without authorization, or remove or obscure any proprietary notices or disclaimers from the Content.
All access to Content is provided strictly for online web-based viewing. Any attempt to circumvent these restrictions, such as using software tools, browser extensions, or screen capture methods, constitutes a violation of these Terms and may result in immediate account termination and legal action.
7.3 Restrictions on Redistribution, Copying, or Sharing
You agree that you will not, under any circumstances:
Copy, reproduce, duplicate, republish, download, transmit, display, distribute, sell, or otherwise exploit any portion of the Platform or Content for commercial or non-commercial purposes;
Share your account credentials or allow any third party to access your account or subscription;
Employ automated software, bots, spiders, or any similar tools to extract, scrape, or index the Platform or its Content;
Modify, adapt, translate, or create derivative works based on the Platform or its Content.
Violation of this section constitutes a material breach of these Terms and may result in immediate account termination without refund, legal action for damages, injunctive relief, and any other remedies available under applicable law.
7.4 Trademarks and Branding
All trademarks, logos, service marks, and trade names displayed on the Platform (collectively, the “Marks”) are the property of LC-Insights LLC or their respective owners. You are not permitted to use, display, reproduce, or reference these Marks without obtaining prior written consent from LC-Insights LLC or the relevant trademark holder.
Unauthorized use of these Marks may constitute trademark infringement and unfair competition under applicable laws and may subject you to civil and criminal penalties. LC-Insights LLC aggressively fully enforces its intellectual property rights permitted by law.
8.1 License Granted to LC-Insights LLC
By posting, submitting, or uploading any content to the Platform’s community forum or any other interactive feature, you grant LC-Insights LLC a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, display, and distribute such content in any media or format for purposes of operating, improving, and promoting the Platform. This license continues for as long as your content remains on the Platform and survives the termination of your account to the extent necessary for the Company to comply with legal obligations, resolve disputes, or enforce these Terms.
You are solely responsible for any content you create, post, or share on the Platform, including ensuring that such content does not violate any law, regulation, or the rights of any third party. You represent and warrant that you own or have obtained all necessary rights and permissions to post such content, and your content does not infringe any copyright, trademark, trade secret, or other intellectual property rights, or violate the privacy, publicity, or other legal rights of any person.
LC-Insights LLC is not responsible for any user-generated content, nor does it endorse any opinions expressed by users.
If you submit or contribute content within the Community Platform (including peer posts, threads, or replies), your content is also governed by the LC-Insights Community Terms & Conditions, which outline additional posting guidelines, content ownership disclaimers, moderation standards, and participation rules.
8.2 Right to Remove or Edit Content
We reserve the right, but are not obligated, to monitor, review, and edit user-generated content at our sole discretion. LC-Insights LLC may remove or restrict access to any content without notice if we determine that it violates these Terms, our community guidelines, or applicable law, or if it is deemed inappropriate or harmful to the integrity of the Platform. Decisions regarding content removal are final and cannot be appealed.
9.1 Outsetta Platform and Payment Processing
The Platform is hosted and operated using Outsetta , which provides website infrastructure, hosting, and integrated payment processing services. By subscribing to our Services, you acknowledge that certain functions, such as payment processing and transaction security, are managed by Outsetta in accordance with its terms of service and privacy policies. LC-Insights LLC does not store your full payment details but may receive limited transaction information for record-keeping and subscription management purposes. You are encouraged to review Outsetta’s Terms of Use and Privacy Policy for additional information on their practices.
9.2 Third-Party Integrations
To enhance user experience and deliver targeted marketing communications, we may integrate with third-party services, such as Mailchimp, HubSpot, or similar platforms, in the future. These integrations may involve the transfer of specific user data (such as name and email address) to these providers for purposes of email marketing, analytics, or customer relationship management. We will ensure that any such providers adhere to applicable data protection laws. Your continued use of the Platform following any such integrations constitutes your consent to these practices.
9.3 Links to Third-Party Websites
The Platform may include links to third-party websites or resources for your convenience. LC-Insights LLC does not endorse, control, or assume responsibility for the content, products, services, or practices of these third-party sites. Accessing any linked websites is done at your own risk, and you should review the applicable terms and privacy policies of such sites before engaging with them. LC-Insights LLC disclaims any liability arising from your use of third-party websites or services accessed through our Platform.
10.1 Termination by User
You may terminate your subscription at any time by logging into your account and completing the cancellation process outlined in your subscription settings. Termination will become effective at the end of your current billing cycle. Until that time, you will retain full access to InsightEX and its features.
Please note:
Simply deleting your account or uninstalling any related software (if applicable) does not constitute cancellation.
To avoid being billed for the next billing cycle, you must complete the cancellation process before the renewal date.
No prorated refunds or account credits will be issued for partial subscription periods, unused services, or early termination unless otherwise required by applicable law.
10.2 Termination by LC-Insights LLC
LC-Insights LLC reserves the right to suspend or permanently terminate your account without prior notice if, in our sole discretion, any of the following occurs:
You breach any provision of these Terms, including engaging in prohibited activities, violating intellectual property rights, or disregarding community forum rules.
Your payment method is invalid, a subscription payment fails, or your account becomes delinquent and remains unresolved despite notice.
Your behavior, actions, or posted content disrupts the community, threatens the safety or experience of other users, or undermines the integrity of the Platform or LC-Insights LLC’s reputation.
Termination is necessary to comply with applicable law, a court order, regulatory obligations, or to protect against fraud, unauthorized access, or other security risks.
We also reserve the right to refuse or discontinue service to any individual or entity at our discretion, as permitted by law, without incurring liability for doing so.
10.3 Community Platform Termination
Your access to the Community Platform may be suspended or terminated independently of your InsightEX (Main Platform) subscription if you violate the Community Terms and Conditions, including but not limited to posting prohibited, abusive, or infringing content, violating peer-conduct or engagement rules, interfering with community moderation or operations, and engaging in behavior harmful to the community environment
Termination or suspension from the Community Platform does not cancel your InsightEX subscription, nor does it entitle you to a refund, unless expressly provided in the Community Terms.
10.4 Effect of Termination
Upon suspension or termination of your account:
Your right to use and access InsightEX, including premium features and content, will immediately cease.
Any user-generated content you have posted may be removed from the Platform at our discretion. However, LC-Insights LLC reserves the right to retain such content or associated data to the extent required by law, to resolve disputes, or to enforce these Terms.
All subscription fees paid prior to termination are non-refundable, and no credits will be provided for any unused portion of your subscription period, unless otherwise mandated by applicable law.
The termination of your account does not affect any provisions of these Terms, which, by their nature, are intended to survive termination. These include, but are not limited to, Intellectual Property Rights (Section 7), User-Generated Content License (Section 8), Disclaimers and Limitation of Liability (Section 11), Indemnification (Section 12), and Governing Law and Dispute Resolution (Section 16)
The InsightEX Platform and all related Services, excluding the Community Platform (as defined in the Community Terms & Conditions), are provided for general informational and educational purposes only. LC-Insights LLC makes no representations or warranties regarding the outcomes, suitability, completeness, or applicability of any content or tools provided through the Platform for your specific business, financial, or strategic decisions.

The Platform, including all content, features, and Services (excluding community-generated content), is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, LC-Insights LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability or fitness for a particular purpose, warranties of accuracy, timeliness, non-infringement, or reliability, and warranties that access to the Platform will be uninterrupted, error-free, or secure.
In no event shall LC-Insights LLC, its affiliates, officers, employees, contractors, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, lost profits, lost business opportunities, loss of data, or service interruptions, arising out of or in connection with your use of (or inability to use) the Platform.
To the maximum extent permitted by law, the total aggregate liability of LC-Insights LLC for all claims under these Terms shall not exceed the total subscription fees actually paid by you to LC-Insights LLC in the twelve (12) months immediately preceding the claim.
You agree to defend, indemnify, and hold harmless LC-Insights LLC, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to:
Any activity conducted under your account, including access to or use of the Platform or Services, whether or not you authorized such activity;
Any actual or alleged breach of these Terms by you, including failure to comply with user responsibilities, subscription terms, or community guidelines;
Your violation of any applicable law, regulation, rule, or the rights (including intellectual property rights, privacy rights, or contractual rights) of any third party;
Any content, material, or information you submit, post, publish, or otherwise make available through the Platform, including claims of defamation, infringement, or unauthorized disclosure of confidential information.
You agree that LC-Insights LLC shall have the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to fully cooperate with LC-Insights LLC in the defense of such claims and shall not settle any claim or matter without the prior written consent of LC-Insights LLC.
This indemnification obligation shall apply to both third-party claims and claims asserted by governmental authorities and will survive the termination, suspension, or expiration of your account and these Terms, regardless of the reason for termination.
By creating an account or subscribing to the Platform, you agree to receive both transactional communications (such as account notices, billing information, and service updates) and promotional communications (such as marketing emails, newsletters, and offers related to our Services). These promotional communications are intended to keep you informed about new content, features, and opportunities available through the Platform. You may opt out of receiving promotional communications at any time by following the unsubscribe instructions included in each message, but you will continue to receive essential transactional communications related to your account.

16.1 Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to your use of the Platform or Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
16.2 Arbitration Agreement (Rules, Venue, Binding Effect)
You agree that any dispute, claim, or controversy between you and LC-Insights LLC that arises out of or relates to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration, rather than in court, except that either party may seek equitable relief in a court of competent jurisdiction for matters related to intellectual property or unauthorized use of the Platform.
The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and the proceedings shall take place in Travis County, Texas, unless the parties mutually agree on another location. The arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.3 Class Action Waiver
You and LC-Insights LLC agree that any arbitration or legal proceeding shall be conducted solely on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action, class arbitration, or representative action against LC-Insights LLC.
By agreeing to these Terms, you acknowledge that you are waiving your right to a trial by jury and your right to participate in a class or representative action.
In addition to these Terms, your use of certain features or sections of the Platform, such as the LC-Insights Community Platform, is governed by separate terms, policies, and guidelines.
If you access or participate in the Community Platform (including any discussion forums, peer-sharing activities, or collaborative resources), you agree to comply with the LC-Insights Community Terms and Conditions (“Community Terms”). These Community Terms are incorporated herein by reference and form a binding part of your overall agreement with LC-Insights LLC.
In the event of any conflict between these general Platform Terms and the Community Terms, the Community Terms will control with respect to your use of and access to the Community Platform.
We encourage all users engaging with community features to carefully review the Community Terms to understand their responsibilities, posting guidelines, contribution policies, and applicable disclaimers.
18.1 Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the Platform, represent the entire and complete agreement between you and LC-Insights LLC regarding your access to and use of the Platform and Services. This agreement supersedes all prior or contemporaneous understandings, communications, negotiations, representations, or agreements, whether oral, written, or electronic, concerning the subject matter herein.
No oral or written statement by any representative, employee, or agent of LC-Insights LLC that conflicts with these Terms shall be deemed to amend or modify them unless expressly stated in a written amendment signed by an authorized officer of LC-Insights LLC.
18.2 Severability: If any provision, clause, or part of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be interpreted or modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent as closely as possible. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect without impairment or invalidation.
18.3 No Waiver: The failure by LC-Insights LLC to enforce any provision of these Terms, or any delay in enforcing such provision, shall not be construed as a waiver of any rights or remedies under these Terms. Any waiver granted must be in writing and signed by an authorized representative of LC-Insights LLC to be effective. A waiver on one occasion shall not constitute a continuing waiver or a waiver of any other provision or right.
18.4 Assignment: You may not assign, delegate, or transfer any of your rights or obligations under these Terms without obtaining prior written consent from LC-Insights LLC, and any attempted assignment in violation of this provision shall be null and void. LC-Insights LLC may freely assign, delegate, or transfer its rights and obligations under these Terms, in whole or in part, without your consent. This includes, but is not limited to, assignments related to mergers, acquisitions, reorganizations, or asset sales. These Terms shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
